These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “User”) and Palmabook Holdings, Inc., a Delaware (USA) corporation, operating the platform under the name Palmabook (“Palmabook”, “we”, “our”, “us”).
By accessing or using Palmabook (including any websites, apps, features, or tools we provide), you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree, do not use the platform.
1. Definitions
For clarity in these Terms:

“Host” means a property owner, hospitality partner, or authorized operator who publishes or promotes accommodations and/or services on Palmabook.

“Guest” means a traveler or corporate user who browses, inquires, or books accommodations.

“Listing” means any accommodation page, offer, content, or related information displayed on Palmabook.

“Direct Booking” means a booking completed and paid within Palmabook under Palmabook’s booking interface and policies (where available).

“Partner Booking” means a booking that is completed on a third-party platform after a User elects to continue externally (where available).

“Third-Party Platform” means any external booking platform, payment provider, service provider, or distribution channel not owned or controlled by Palmabook.
2. Purpose and Scope
Palmabook is a digital travel-technology platform that enables Hosts to publish, present, and promote accommodations to Guests.
Palmabook provides discovery, visibility, content, automation, and marketing tools. Palmabook does not own, operate, or control accommodations unless explicitly stated in writing.
Palmabook is designed as a discovery and visibility platform and may support booking flows through (i) Direct Bookings for selected listings and/or (ii) Partner Bookings on Third-Party Platforms, depending on the Listing type and availability.
3. Eligibility
You must be at least the age of majority in your jurisdiction to use Palmabook. If you use Palmabook on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
Palmabook may refuse service, suspend accounts, or restrict access if required for legal, compliance, safety, or fraud prevention reasons.
4. Operating Principles
4.1 No travel agency / broker / insurer. Palmabook is not a travel agency, broker, tour operator, or insurer.
4.2 Host control. Hosts determine their own rates, house rules, policies, and legal responsibilities, subject to platform requirements and applicable law.
4.3 Displayed price and fees. Palmabook may display a total or retail price that includes platform fees and/or a markup to cover technology, tools, marketing, and support. Any applicable fees must be displayed prior to confirmation for Direct Bookings.
4.4 Neutral platform role. Palmabook remains a neutral platform facilitating discovery and visibility. The Host remains responsible for the accommodation and service delivery.
5. Platform Components (Including AI/Automation)
Palmabook may include: the website/app interface, search and discovery systems, an internal booking interface (where available), synchronization tools, marketing infrastructure, and automation/AI tools to improve visibility and operational efficiency.
Palmabook may translate, adapt, or format Listings to improve search relevance and audience reach. Hosts remain responsible for the accuracy of Listing information, including descriptions, amenities, rules, and legal disclosures. Translations may contain errors and are provided for convenience.
6. Accounts, Verification, and Security
To access certain features, you may need to register an account with accurate, complete information.
You are responsible for safeguarding your login credentials and for all activity under your account. Notify Palmabook promptly if you suspect unauthorized access.
Palmabook may request identity verification or additional documentation to prevent fraud, enforce safety, or meet compliance obligations.
7. Direct Bookings vs Partner Bookings (Critical)
7.1 Direct Bookings (where available)
For Listings labeled or offered as Direct Bookings:

The booking is completed within Palmabook’s interface.

The applicable cancellation/refund policy, fees, and material terms are displayed before confirmation.

Palmabook may facilitate payment processing via approved Third-Party payment processors.
7.2 Partner Bookings (where available)
For Listings that offer Partner Booking options:

The User may choose to continue to a Third-Party Platform to complete the reservation.

The Third-Party Platform is solely responsible for inventory, pricing, checkout, payment processing, customer support, modifications, and refunds for that transaction, under its own terms.

Palmabook does not control Third-Party Platform content, availability, pricing, or fulfillment.
8. Pricing, Fees, Payments, and Payouts
8.1 Payment processing. For Direct Bookings and Palmabook-managed services, payments are processed through approved Third-Party payment processors. Palmabook is not a bank, money services business, or escrow agent.
8.2 Funds handling. Where applicable, Palmabook may temporarily hold funds strictly as required to operate payment flows (e.g., processing, refunds, chargebacks, compliance checks) and to remit payouts to Hosts for Direct Bookings, if such payouts are offered.
8.3 Fees and markups. Any platform fees, markups, or charges applicable to a Direct Booking are disclosed prior to confirmation.
8.4 Taxes. Hosts are responsible for determining and complying with tax obligations, licensing, and regulatory requirements applicable to their Listings and jurisdictions, unless Palmabook explicitly states otherwise in writing.
9. Bookings, Cancellations, and Modifications
9.1 Direct Booking contract. A confirmed Direct Booking creates a binding booking arrangement between Host and Guest, subject to the policies displayed at the time of booking and applicable law.
9.2 Cancellations/refunds. Cancellation and refund policies apply exactly as displayed at the time of confirmation for Direct Bookings.
9.3 Partner Booking terms. For bookings completed on Third-Party Platforms, cancellations, refunds, changes, and disputes are governed solely by that platform’s terms and processes.
9.4 Fraud and safety. Palmabook may cancel, restrict, or remove content or access when fraud, safety risks, policy violations, or misuse is suspected.
10. Host Responsibilities
Hosts represent and warrant that they:

have the legal right and authority to list the accommodation and provide the offered services;

will maintain accurate Listing information;
-
will comply with applicable laws and regulations (safety, tax, licensing, consumer protection);

will not mislead Guests regarding availability, condition, rules, or pricing.
Palmabook may request documentation to verify compliance. Failure to provide it may result in suspension or delisting.
11. Guest Responsibilities
Guests must:

provide accurate information when booking;
-
comply with Host rules and applicable laws;
-
refrain from harassment, discrimination, fraud, or abuse;
-
use the platform in good faith.
12. Reviews, Community Content, and Standards
Palmabook may allow Users to leave feedback, ratings, and/or community content where available.
Palmabook may remove or restrict content that violates standards (including manipulation, falsification, harassment, hate, illegal content, or defamation). Feedback must be respectful and factual.
Users grant Palmabook a non-exclusive, worldwide license to host, display, and distribute content they upload, solely for operating and improving the platform, subject to applicable law and the Privacy Policy.
13. Platform Integrity and Prohibited Conduct
You must not:

scrape, copy, reverse engineer, or interfere with Palmabook systems;

upload malware or harmful code;
-
manipulate rankings, traffic, or reviews;
-
impersonate Palmabook, Hosts, or third parties;
-
engage in deceptive practices or misuse user data.
Palmabook may enforce restrictions, suspend accounts, and cooperate with lawful requests.
14. Intellectual Property
All Palmabook technology, design, branding, software, text, and platform content are owned by or licensed to Palmabook and protected by intellectual property laws.
You may not use Palmabook trademarks or content without written permission, except as allowed by law.
15. Third-Party Services and Links
Palmabook may link to or integrate Third-Party Platforms and services. Palmabook does not control and is not responsible for Third-Party Platforms’ content, performance, policies, or actions.
Your use of Third-Party Platforms is at your own risk and governed by their terms.
16. Privacy and Data Use
Palmabook collects and processes data to provide, improve, and secure its services and to comply with legal obligations.
Palmabook does not sell personal data. Data sharing is limited to what is necessary for operations (e.g., payment processing for Direct Bookings) or legal compliance.

17. Disclaimers
Palmabook provides the platform and tools “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law.
Palmabook does not guarantee uninterrupted service, error-free operation, or the availability/accuracy of any Listing, and does not guarantee outcomes (including booking volume, revenue, rankings, or visibility).
18. Limitation of Liability
To the maximum extent permitted by law, Palmabook will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from or related to your use of the platform.
Palmabook is not responsible for the acts, omissions, or performance of Hosts, Guests, or Third-Party Platforms.
Where liability cannot be excluded, it will be limited to the minimum extent permitted by law.
19. Indemnification
You agree to indemnify and hold harmless Palmabook from claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from:

your violation of these Terms;

your Listings, content, or services;
-
your breach of applicable laws;
-
disputes between Hosts and Guests.
20. Suspension and Termination
Palmabook may suspend or terminate access to the platform at any time if we believe you violated these Terms, created risk, engaged in fraud, or for legal/compliance reasons.
You may stop using Palmabook at any time. Certain obligations (e.g., IP, indemnification, limitations) survive termination.
21. Changes to These Terms
Palmabook may update these Terms from time to time. Updated versions apply from the publication date.
Continued use after an update constitutes acceptance of the revised Terms.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable to Palmabook Holdings, Inc. (Delaware, USA), without prejudice to mandatory consumer protection rights in your jurisdiction.
Before initiating formal legal proceedings, you agree to first contact Palmabook through official support channels to attempt good-faith resolution.
Nothing in this section limits non-waivable rights you may have under applicable law.
23. Entire Agreement / Severability / Assignment
These Terms, together with any referenced policies (including the Privacy Policy), constitute the entire agreement between you and Palmabook regarding platform use.
If any provision is found unenforceable, the remaining provisions remain in effect.
You may not assign these Terms without Palmabook’s consent. Palmabook may assign these Terms as part of a merger, acquisition, or corporate restructuring.
